DRAFT FOR REVIEW
General service terms
Status and scope
These draft terms set out a proposed framework for general technology, education and business-support engagements with AMAKRE HOLDINGS LTD, Osogbo, Osun State, Nigeria. They require review and written acceptance before use as a contract. They do not cover derivatives portfolio management, custody, brokerage or investment services.
Written statement of work
Before work begins, both parties should agree a statement of work identifying the legal parties, deliverables, exclusions, milestones, acceptance criteria, fees, taxes, payment dates, project contacts and applicable support period. These terms do not create a commitment to deliver unspecified services.
Client responsibilities
The client provides accurate information, timely approvals and authorised access to materials needed for the project. The client confirms that it has permission to supply data, code, brands and other materials. Delays or changes affecting delivery should be documented and discussed promptly.
Fees, changes and cancellation
Fees and any advance payment are agreed in the statement of work. Changes to scope, dates or cost require written agreement. On cancellation, payment for work completed, approved commitments and any refund for unperformed work should be assessed fairly under the agreed scope and applicable law. There is no blanket non-refundable rule in this draft.
Delivery and acceptance
AMAKRE submits work against the agreed milestones. The client identifies any material failure to meet the acceptance criteria within the review period specified in the statement of work. The parties agree reasonable corrections and revised dates. Silence alone is not treated as acceptance under this draft.
Intellectual property
The statement of work must state who owns newly created deliverables and when any transfer or licence takes effect. Each party retains pre-existing materials. Open-source and third-party materials remain subject to their own licences. No transfer is implied for materials that AMAKRE does not own.
Confidentiality and data
Both parties protect confidential project information and limit its use to the engagement. Personal data responsibilities, lawful processing, access, retention, security and any third-party processing should be documented for the project. Website statistics are optional; support conversations are handled as explained on the website. Contact support@amakreholdings.com for privacy questions.
Marketing and brand work
Campaign scope, channels, budget, approvals and reporting are agreed in writing. AMAKRE does not promise a specific follower count, sales result, audience reach or funding outcome. The client approves factual claims and holds the necessary rights to submitted content.
Development and code reviews
Development scope specifies supported environments, testing, handover and maintenance. Code reviews are limited to the versions and scope examined; they cannot guarantee the absence of vulnerabilities. Deployment access, security responsibilities and remediation work require clear agreement.
Writing, project support and education
Technical writing relies on verified client information and agreed review stages. Project management supports coordination but cannot guarantee third-party performance. Educational research does not constitute personalised financial advice. Business presentation support does not guarantee an investor introduction or investment.
Responsibility and disputes
Each party remains responsible for its own obligations and unlawful conduct. No term is intended to remove mandatory consumer or privacy rights. Any proposed limitation of liability, governing law and dispute forum must be settled in the signed agreement with appropriate legal review. Raise concerns first at support@amakreholdings.com so the parties can seek an agreed resolution.
Approval before engagement
This page is a draft for discussion, not a signed client agreement. The final contract should include the parties’ authorised signatures, date, agreed statement of work and any service-specific schedules.
